ModernSuite provides cloud-based business software including CRM, billing systems, and email marketing platforms. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

3. User Accounts

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account
• One person or legal entity may not maintain more than one free account

4. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit spam, viruses, or malicious code
• Attempt to gain unauthorized access to our systems
• Use our services for illegal or harmful purposes
• Resell or redistribute our services without permission

5. Payment and Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change our pricing with 30 days notice
• Failure to pay may result in service suspension or termination
• You authorize us to charge your payment method automatically

6. Free Trials

We may offer free trials for our services. At the end of the trial period, you will be charged unless you cancel before the trial ends.

7. Data and Privacy

• You retain all rights to your data
• We will not access your data except as necessary to provide services
• You are responsible for backing up your data
• We implement security measures but cannot guarantee absolute security

8. Intellectual Property

All content, features, and functionality of our services are owned by ModernSuite and protected by copyright, trademark, and other intellectual property laws.

9. Service Level and Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We are not liable for any downtime or service interruptions.

10. Termination

• You may cancel your account at any time
• We may suspend or terminate your account for violations of these Terms
• Upon termination, your right to use the services ceases immediately
• We may delete your data after account termination

11. Limitation of Liability

To the maximum extent permitted by law, ModernSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

12. Indemnification

You agree to indemnify and hold ModernSuite harmless from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the laws of India.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our services. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of India. Any legal action must be brought in the courts of Mumbai, Maharashtra.
